Unlimited Club Terms & Conditions Agreement

By providing Soapbox Car Wash (“Soapbox”) a Payment Method (as defined below), and either accepting these Terms or otherwise utilizing the services, you agree that you have read and understand these Terms. If you do not agree with these Terms, cancel your Unlimited Club membership as outlined in Section 2.6 “Cancelation by You; Reactivation”, and do not use the services.

UC Membership Plans and Fees

1.1 Unlimited Club Plan Terms and Conditions

We offer one or more of the following exterior only Unlimited Club membership plans: Deluxe Box, Supreme Box, and Ultimate Box. For service details and membership fees, you can search for your local Soapbox locations.

We reserve the right to change our Unlimited Club membership plans or fees in any manner and at any time as we may determine in our sole and absolute discretion, provided, however, that any material changes to membership plans or any increase to membership fees will take effect thirty (30) days after being posted at the impacted Soapbox locations, on the Website, or otherwise communicated to you.

We agree to make the services of these memberships available to all members during posted business hours, except for closures due to inclement weather, pre-posted holidays, maintenance related issues, governmental orders, or other force majeure events.

A currently paid Unlimited Club membership plan allows the vehicle enrolled in the plan to wash their vehicle up to two (2) times a day for the billing period that was purchased at any Soapbox location that provides such plan.

Also, we will allow you to change the type of membership plan purchased no more than four (4) times per calendar year.

1.2 Auto-Renewal of Unlimited Club Membership

The Unlimited Club membership for each vehicle will commence with your delivery of a current, valid, accepted debit or credit card, as may be updated from time to time (“Payment Method”) to Soapbox and your acceptance of these Terms.

You authorize Soapbox to charge your credit/debit card at the selected interval for the amount specified.

If you choose quarterly, semi-annual, or annual billing, you will be notified via email about two weeks prior to your billing to provide ample time to cancel or make changes.

THIS PLAN IS A FIXED RECURRING PLAN (Auto-renewing) and is not dependent upon whether you use the services of our car washes.

The fee for the Unlimited Club membership you purchase, and any other charges you may incur in connection with your Unlimited Club membership plan, such as taxes and possible transaction fees, will be charged or debited monthly to your Payment Method on the day of month on which you signed up for the plan.

Fees are fully earned upon payment.

In some cases, your payment date may change, for example, if your Payment Method has not successfully settled or if your membership plan was purchased on a day not contained in each month, e.g., the 31st.

The charges or debits will appear on your Payment Method statement as from Soapbox Car Wash.

YOU RETAIN THE RIGHT WITHOUT ADDITIONAL COST OR PENALTY TO TERMINATE THE UNLIMITED CLUB MEMBERSHIP PLAN IF YOU CANCEL IN A TIMELY MANNER AS DESCRIBED BELOW.

1.3 License Plate Recognition

Soapbox uses License Plate Recognition software to identify your car as being enrolled in the Unlimited Club.

The license plate associated with your vehicle, as indicated on your government issued vehicle registration, must remain on said vehicle.

Soapbox reserves the right to inspect the vehicle registration and VIN.

Abuse of this policy will cause loss of membership, with no refunds.

A Fast Pass may be issued in circumstances when a license plate cannot be read properly. This will be valid on one specific vehicle and must remain affixed to the car that is listed in the record.

Abuse of this policy can result in loss of membership, with no refund, as well as a permanent ban from any Soapbox car wash.

The listed vehicle can be changed by you no more than four (4) times per calendar year.

1.4 Non-Commercial, Single Vehicle, Personal Use Only

Each purchased Unlimited Club membership plan is for a single, personal, non-commercial vehicle only.

Resale or transfer of your license plate or the Fast Pass (without prior notification) to another vehicle or person is expressly prohibited.

Commercial vehicles, including ride-sharing vehicles, taxis, and limousines, are not eligible for the Unlimited Club.

If you have a commercial vehicle, please contact support@soapboxautowash.com for information about a business account.

If a vehicle identified with an Unlimited Club membership plan is sold, your Payment Method will continue to be charged until you transfer the Unlimited Club membership plan to another vehicle by contacting the Unlimited Club department via email, phone or chat or logging into your account on the website and changing it.

1.5 Promotional Periods

If a promotional period is available under the Unlimited Club membership plan purchased, then it will be specified at the time of purchase.

The promotional period is intended to allow new and certain former members to try the services.

As a result, the availability, duration, and any other terms for the promotional period may vary as determined by Soapbox at its sole discretion.

At the expiration of any promotional period, we will charge the then-current fee for your chosen plan on your next billing cycle to your Payment Method and your membership will automatically renew unless you cancel your membership prior to the end of the promotional period.

If we determine that you are not eligible for the promotion, we reserve the right to revoke your promotional period and charge you the then-current fee for the plan you selected and/or put your Unlimited Club membership plan on hold.

Purchase, Billing, Cancelation, and Refunds

2.1 Purchasing an Unlimited Club Membership

To purchase an Unlimited Club membership plan, visit any Soapbox location or the Website.

Your membership plan is active at the time of purchase, whether in person or through an Account.

2.2 Unlimited Club Pricing and Taxes

Unlimited Club membership plan pricing is based on the location where purchased.

An Unlimited Club membership plan purchased through the Website will be priced according to the city and state entered at the time of purchase.

Your Unlimited Club membership plan may be subject to taxes.

Any applicable taxes will be automatically charged to or debited from your Payment Method on a monthly basis.

Soapbox reserves the right to change the price or other terms of the Unlimited Club.

2.3 Unlimited Club Payment Processing

If a payment is not successfully settled due to your Payment Method’s expiration, insufficient funds, or otherwise, and you do not cancel your Unlimited Club membership, we may suspend your access to the service until we have successfully charged or debited a valid Payment Method.

We will attempt to contact you via email for issues related to payment.

Soapbox is not responsible for any fees accrued from your financial institution.

We have no responsibility or liability if your Payment Method is declined by your financial institution.

When you purchase an Unlimited Club membership, your credit or debit card is transmitted directly to a third-party payment processor in accordance with applicable Payment Card Industry Data Security Standards.

2.4 Updating Unlimited Club Payment Method

You may update your payment method any time by logging into your account on the website.

If you require assistance, it is available by phone, email or chat with our Unlimited Club department.

Changes to your account cannot be made at the car wash locations.

2.5 Unlimited Club Cancelation/Reactivation

YOU MUST CANCEL AN UNLIMITED CLUB MEMBERSHIP AT LEAST 5 DAYS BEFORE IT RENEWS IN ORDER TO AVOID AUTOMATIC BILLING.

The vehicle identified with the canceled membership plan will continue to have access to the car wash services through the end of its current billing period.

You can cancel by logging into your account on our website or by contacting Soapbox Customer Support.

Canceling an Unlimited Club membership does not delete your account.

Canceled memberships may be reactivated through the website or by contacting customer support.

2.6 No Refunds

Paid Unlimited Club membership fees are non-refundable and there are no refunds or credits for partially used membership periods.

Any refund, discount, or other consideration is at the sole discretion of Soapbox, in accordance with applicable law.

Soapbox Car Wash Account and Unlimited Club Membership Plan

3.1 Soapbox Membership Plan

You can purchase an Unlimited Club membership plan by visiting the Website or any Soapbox location.

The person purchasing the membership must have authority to charge the Payment Method associated with the membership.

You must be 18 years of age to purchase an Unlimited Club membership plan.

3.2 Updating Your Information

You may update your email address, phone number, payment method, or membership plan through your online account or by contacting Soapbox Customer Support.

3.3 Communication Preferences

We may send you information relating to your account or membership plan via email or text message.

You agree that electronic communication satisfies any legal communication requirement.

3.4 Compliance with Law; Termination by Soapbox

You agree to use the membership in accordance with all applicable laws and these Terms.

Soapbox may cancel or suspend membership plans at its sole discretion for violations of these terms or misuse of the service.

Disclaimers of Warranties and Limitations on Liability

4.1 No Warranty

THE UNLIMITED CLUB MEMBERSHIP PLANS AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND.

SOAPBOX DOES NOT GUARANTEE THAT ALL SERVICES WILL BE AVAILABLE AT ALL LOCATIONS.

4.2 Damage Disclaimer

SOAPBOX DOES NOT REPRESENT THAT THE SERVICES ARE SUITABLE FOR YOUR VEHICLE.

SOAPBOX DISCLAIMS LIABILITY FOR DAMAGE RELATED TO:

Pre-existing damage and loose parts
Negligence (driving, steering, braking, etc.)
Electric running boards in lowered position
Aftermarket and non-factory parts
Antennas
Unsecured personal items
Roof or rear racks
Windshield chips and paint chips
Vehicles exceeding 7 years old

4.3 Limitation of Liability

TO THE EXTENT PERMITTED BY LAW, SOAPBOX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES.

SOAPBOX’S TOTAL LIABILITY SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU DURING THE ONE MONTH PRECEDING THE CLAIM.

YOUR SOLE REMEDY IS TO STOP USING THE SERVICES.

4.4 Indemnification

You agree to indemnify and hold Soapbox Car Wash harmless from any claims or damages resulting from misuse of the Unlimited Club membership or breach of these Terms.

Arbitration Agreement, Waiver of Jury Trial, and Class Action Waiver

All disputes related to the membership, services, or terms shall be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (AAA).

Arbitration will take place in Oakland County, Michigan.

YOU AND SOAPBOX AGREE THAT CLAIMS MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT AS PART OF A CLASS ACTION.

Miscellaneous

Governing Law

These Terms are governed by the laws of the State of Michigan.

Any non-arbitrated disputes will be resolved in Oakland County, Michigan courts.

Changes to Terms

Soapbox Car Wash reserves the right to modify these Terms at any time. Updated Terms will be posted on our website.
